1. Acceptance of Terms
TL;DR: Use ClientsPulse and you agree to these terms.
By accessing or using ClientsPulse ("Service"), operated by ClientsPulse ("Company," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
TL;DR: Client timeline, AI-drafted nudges (you approve them), and no-login client portal.
ClientsPulse is a post-sale client relationship management tool. It provides a smart client timeline, AI-assisted nudge drafting (human review required before sending), and a zero-login client portal for approvals, invoices, and file uploads.
3. Account Registration
TL;DR: Real email, you guard your password, tell us if it's compromised.
You must register using a valid email address via our identity provider (Clerk). You are responsible for maintaining the security of your account. Notify us immediately of any unauthorized access at security@clientspulse.app.
4. Subscription and Billing
TL;DR: Monthly or annual via PayPal. Founding 100 rate is locked. We give 30 days' notice before any general price change.
Subscriptions are billed monthly or annually via PayPal. Prices are listed on the pricing page. The Founding 100 discount (25% off) is locked at first payment and applies to all subsequent renewals on the same plan. Downgrades take effect at period end; upgrades are prorated.
We reserve the right to change prices with 30 days' notice. Founding 100 rates are locked and exempt from general price increases.
5. Acceptable Use
TL;DR: No spam, no scraping, no cross-tenant snooping, always review AI drafts before sending, don't store sensitive personal data.
You agree not to:
- Use the Service to send unsolicited commercial messages (spam)
- Attempt to access another tenant's data
- Reverse-engineer or scrape the Service
- Use AI nudges to send messages without reviewing them (the human-in-the-loop requirement is by design)
- Store sensitive personal data (SSNs, payment credentials, health data) in client timelines
6. Data and Privacy
TL;DR: You own your client data. We process it only to run the Service.
Your use of the Service is governed by our Privacy Policy and, where applicable, our Data Processing Addendum. You retain ownership of your client data. We process it only as necessary to provide the Service.
7. AI Features
TL;DR: AI drafts are suggestions. You review before sending. You're responsible for what you send.
AI-generated nudge drafts are provided as suggestions only. You are solely responsible for reviewing and approving any message before it is sent to your clients. ClientsPulse is not responsible for the content of messages you send after reviewing AI drafts.
8. Service Availability
TL;DR: We aim for 99.5% uptime. Third-party outages are not on us.
We target 99.5% monthly uptime but do not guarantee it. We are not liable for downtime caused by third-party services (Supabase, Clerk, PayPal, Resend, Groq).
9. Termination
TL;DR: Cancel anytime in Settings → Billing. We can terminate for violations.
You may cancel at any time from Settings → Billing. Access continues until the current billing period ends. We may terminate accounts that violate these Terms.
10. Limitation of Liability
TL;DR: Our total liability is capped at the fees you paid in the last 12 months.
To the maximum extent permitted by law, ClientsPulse is not liable for indirect, incidental, special, or consequential damages arising from your use of the Service. Our total liability to you shall not exceed the fees you paid in the 12 months prior to the claim.
11. Governing Law
These Terms are governed by the laws of the jurisdiction where ClientsPulse is registered, without regard to conflict-of-law principles.
12. Changes to Terms
TL;DR: Material changes get 14 days' email notice.
We may update these Terms. Material changes will be communicated by email 14 days before they take effect. Continued use after that date constitutes acceptance.
